Today on 23.09.2021, Ministry of Corporate Affairs has finally granted the much awaited extension to hold AGM for the year ended 31.03.2021 i.e. FY 2020-21.
The extension was much awaited as small companies were facing difficulty in conducting their AGM within due time due to Covid pandemic and lockdown.
However, after receiving the extension order also many people were confused as to whether such extension is automatic or they will have to apply for same in their respective RoC.
Now, Registrar of Companies, Gujarat have released their order (office memorandum) after the above extension wherein they have mentioned in Para. 6 that:
“I hereby extend the time to hold AGM, other than the first AGM for the financial year ended 31.03.2021 for companies within the jurisdiction of this office, which are unable to hold their AGM for such period within the due date of holding the AGM by a period of Two Months from the due date by the AGM ought to have been held in accordance with the provisions of sub-section (1) to section 96 of the Act, without requiring the companies to file applications for seeking such extension by filing the prescribed Form No.GNL-1.”
Thus, based on the above order it can be said that none of the companies would be required to file for any extension and the extension announced today would be an automatic extension available to all.
